About Offering Registry

Offering Registry is an independent, automatically maintained record of companies raising capital through offerings filed with the U.S. Securities and Exchange Commission. It starts with Regulation Crowdfunding (Form C), adds Regulation A (Form 1-A), and will extend to registered offerings (S-1, F-1 and S-11).

How it is built

Each profile is generated from the issuer's own filings on EDGAR. Structured fields (entity, jurisdiction, address, platform, terms, two years of financials) come directly from the SEC's XML data. Officers, directors, holders of 20% or more, the auditor or reviewing CPA, escrow agent, counsel and other professionals are extracted from the offering statement. Profiles are updated when the issuer files an amendment, a progress update, an annual report or a withdrawal.

Independence

Offering Registry is not affiliated with the SEC, FINRA, any funding portal, broker-dealer, issuer or service provider listed on this site. We accept no payment from issuers for coverage, and rankings and registry notes are never for sale. Any sponsorship is labeled as such and kept separate from editorial content.

Not investment advice

Nothing on this site is an offer to sell or a solicitation of an offer to buy any security, or a recommendation of any offering. We do not link to investment pages. Read the full offering statement on EDGAR and consult your own advisers before investing.

Corrections

Issuers, their officers and the professional firms named here can request a correction by emailing [email protected] with the EDGAR accession number and the field in question. Figures are taken from filings as filed, so a correction usually requires an amended filing.

Publisher

Offering Registry is published by Meraki Partners, LLC, an advisory firm that has worked on public offerings and private placements for 30 years. For founders preparing to raise capital, see Prepared to Raise; for companies considering a public listing, see Public Financial.
